V. Technical Development

The development and technical maintenance of the Platform are provided by Wizards, a specialized technical service provider acting on behalf of the Publisher. Wizards does not perform any regulatory functions related to the Fund.

VI. Regulatory Status of the Fund

Makers fund is a Luxembourg alternative investment fund (AIF) structured as a SICAV SCA, subject to Part II of the Luxembourg Law of December 17, 2010, on undertakings for collective investment and the European ELTIF 2.0 Regulation (Regulation (EU) 2023/606).

The Fund is managed by Ascender in its capacity as an Alternative Investment Fund Manager (AIFM) within the meaning of the AIFM Directive (2011/61/EU) and as an ELTIF manager within the meaning of the ELTIF Regulation. The Fund may be marketed to professional and retail investors in the Member States of the European Economic Area.

In accordance with Regulation (EU) No 1286/2014 (PRIIPs), a Key Information Document (KID) is provided to every retail investor prior to any subscription.

VII. Disclaimer – Nature of the Investment

The information provided on the Platform is for informational purposes only and does not constitute:

– investment advice within the meaning of the MiFID II Directive;

– a public offering of financial securities;

– a guarantee of performance or return.

Any investment in Makers fund involves a risk of capital loss. Past performance, return objectives, and projections mentioned do not guarantee future results. Liquidity of shares may be limited. The recommended investment horizon is approximately 8 years. The Fund is classified as SRI 3/7.

It is the responsibility of each investor to assess whether an investment in Makers fund is suitable for their financial situation, objectives, and risk profile, if necessary with the assistance of an independent wealth management advisor.

VIII. Intellectual Property

All elements comprising the Platform, including texts, graphics, logos, trademarks, images, interfaces, databases, and software, are protected by intellectual property laws.

Any reproduction, representation, modification, publication, adaptation, or exploitation of all or part of these elements, by any means whatsoever, is prohibited without the prior written authorization of the Publisher.

IX. Limitation of Liability

The Publisher makes every effort to ensure the accuracy and updating of the information published on the Platform.

However, the Publisher cannot guarantee the accuracy, completeness, or timeliness of the information provided.

The use of information provided on the Platform is the sole responsibility of the user.

The Publisher shall not be held liable for any direct or indirect damage resulting from the use of the Platform.

The information available on the Platform regarding the Fund does not replace the Prospectus, the Key Information Document (PRIIPs KID), or other regulatory documents of the Fund, which shall prevail in all circumstances.

The Platform may contain links to third-party websites.

The Publisher has no control over these sites and declines all responsibility for their content.

XI. Personal Data Protection

The terms and conditions for the collection and processing of personal data are described in the Data Protection Policy available on the Platform.

In accordance with Regulation (EU) 2016/679 (GDPR), users have the right to access, rectify, erase, restrict, and port their personal data, as well as the right to object. These rights may be exercised by contacting the Publisher at the email address provided in the "Site Publisher" section.

The Platform uses cookies.

Information regarding the use of cookies is detailed in the Cookie Policy available on the Platform.

XIII. Governing Law and Jurisdiction

These legal notices concerning the Platform are governed by French law, as the Publisher is established in France.

Any dispute relating to the use of the Platform shall, in the absence of an amicable agreement, fall under the jurisdiction of the competent French courts within the district of the Publisher's registered office.

Regarding the Fund itself (a Luxembourg SICAV SCA), the rights and obligations of investors are governed by the laws of the Grand Duchy of Luxembourg, in accordance with the Fund's Prospectus and Articles of Incorporation.
